Terms of Service

1. Acceptance of Terms
By accessing or using the Services provided by Oryele™ LLC ("Oryele," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
2. Description of Services
Oryele is a digital operations platform for growing businesses, including accounting, legal, and insurance firms, bringing intake, documents, scheduling, communications, workflows, follow-ups, and AI-assisted work together in one platform. The Services include the Oryele platform, related software, and any associated support services.
3. AI-Generated Output; Your Responsibility to Review
The Services include AI-powered features, including a Digital Workforce that reviews and classifies documents and generates other automated output. AI-generated output is provided to assist your work, not to replace your professional judgment. Output from the Digital Workforce is placed in a review queue and is not treated as final until a person at your organization accepts or corrects it — the Services do not make final substantive determinations about your engagements without that review step.
You are responsible for reviewing AI-generated output before relying on it, sending it to a client, or using it to make a business, financial, legal, or professional decision. Oryele does not warrant that AI-generated output is accurate, complete, or fit for any particular purpose.
4. Model Providers and Third-Party Integrations
The AI models that power the Services run on infrastructure that Oryele operates and controls. Oryele does not send Customer Data to a third-party AI company such as OpenAI, Anthropic, or Google for processing. Scanned or image-based documents are processed using Amazon Textract, part of our existing AWS hosting relationship, to extract text and structure.
The Services currently support integrations with Microsoft 365 and Google Workspace, which you may choose to connect. Use of any connected third-party service is also governed by that provider's own terms, and Oryele is not responsible for the availability or performance of a third-party service you connect to the Services.
5. Account Registration
To access certain features of the Services, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
6. Acceptable Use
You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Services in any way that violates applicable laws or regulations
- Transmit any content that is unlawful, harmful, or offensive
- Attempt to gain unauthorized access to any part of the Services
- Use the Services to send unsolicited communications without proper consent
- Reverse engineer, decompile, or disassemble any portion of the Services
- Use the Services to compete with Oryele or resell the Services without authorization
7. Intellectual Property
The Services and all content, features, and functionality are owned by Oryele and are protected by intellectual property laws. These Terms do not grant you any right, title, or interest in the Services except for the limited right to use the Services as described herein.
8. Customer Data; Data Processing
You retain all rights to data you submit to the Services ("Customer Data"). You grant Oryele a limited license to use Customer Data solely to provide and improve the Services. Oryele will maintain appropriate security measures to protect Customer Data as described in our Privacy Policy.
9. Payment and Billing
Access to certain features of the Services requires payment of fees. All fees are stated in US dollars and are non-refundable unless otherwise specified. Oryele reserves the right to change pricing with advance notice. Failure to pay fees may result in suspension or termination of your access to the Services.
10. Confidentiality
Each party agrees to maintain the confidentiality of the other party's confidential information and not to disclose such information to third parties without prior written consent, except as required by law.
11. Service Availability
We work to keep the Services available and performing well, but we do not guarantee a specific level of uptime under these Terms. A committed service level agreement is available as part of our Enterprise tier under a signed agreement; where such an agreement exists and addresses availability, it controls over this section for the account it covers.
12. Security Responsibilities
Oryele is responsible for the security of the infrastructure underlying the Services, including encryption of Customer Data at rest and in transit, access controls, and audit logging. You are responsible for the security practices within your control, including safeguarding your account credentials, promptly deprovisioning users who should no longer have access, configuring the access and permission settings available to you, and determining what data you or your users submit to the Services.
13. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. ORYELE DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORYELE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF ORYELE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
15. Indemnification
You agree to indemnify and hold harmless Oryele and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Services, your violation of these Terms, or your violation of any third-party rights.
16. Termination; Data Export
Either party may terminate these Terms upon written notice. Oryele may suspend or terminate your access to the Services immediately if you breach these Terms.
Before termination takes effect, you may export your audit log as a CSV file and download your documents individually through the Services. The Services do not currently offer a single bulk export of your full account; if you need a different export format or scope, contact us before your account is terminated. Upon termination, your right to use the Services will cease, and Oryele may delete your account and Customer Data in accordance with our data retention policies.
17. Governing Law
These Terms shall be governed by the laws of the State of New Jersey, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts located in New Jersey.
18. Changes to Terms
Oryele reserves the right to modify these Terms at any time. We will notify you of material changes by email or through the Services. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
19. Order of Precedence; Enterprise and Master Agreements
These Terms apply to your use of the Services except to the extent you or your organization has entered into a separate, signed agreement with Oryele — such as a Master Services Agreement, Enterprise Agreement, or Order Form — that expressly references the Services. Where such a signed agreement exists and directly conflicts with these Terms, the signed agreement controls for the subject matter it covers. These Terms continue to apply to anything the signed agreement does not address.
